Terms and Conditions
Effective Date: August 11, 2026
Welcome to the website of Valencia Independent Professionals, also known as VIP Network Group (“VIP,” “we,” “us,” or “our”). These Terms and Conditions govern your access to and use of vipnetworkgroup.com and any pages, features, forms, content, or services made available through the website (collectively, the “Website”).
By accessing or using the Website, you agree to these Terms and Conditions. If you do not agree, please do not use the Website.
1. Purpose of the Website
VIP is a local business and professional networking organization serving the Santa Clarita Valley. The Website provides information about VIP, its members, networking meetings, events, membership opportunities, and related activities.
The Website is intended primarily for informational and networking purposes. It does not provide legal, financial, medical, tax, insurance, real estate, or other professional advice.
2. Eligibility and Acceptable Use
You may use the Website only for lawful purposes and in accordance with these Terms and Conditions.
You agree not to:
-
Violate any applicable federal, state, or local law or regulation.
-
Use the Website to transmit fraudulent, misleading, threatening, abusive, defamatory, obscene, or otherwise unlawful material.
-
Attempt to gain unauthorized access to the Website, its server, or any related system.
-
Introduce viruses, malware, automated scripts, or other harmful technology.
-
Interfere with the operation, security, or availability of the Website.
-
Scrape, harvest, copy, or compile member information for unsolicited marketing, mass solicitation, spam, resale, or database creation.
-
Use information from the member directory to impersonate a member or falsely suggest an affiliation with or endorsement by VIP.
-
Reproduce or commercially exploit Website content without authorization.
-
Submit information that infringes another person’s privacy, intellectual-property, or other legal rights.
VIP may restrict or terminate access to the Website when it reasonably believes these Terms have been violated.
3. Membership and Meeting Information
Submission of a contact form, attendance at a meeting, receipt of a complimentary breakfast, or communication with a VIP member does not guarantee acceptance as a member.
Membership is subject to VIP’s then-current eligibility requirements, category availability, application process, dues, bylaws, policies, and leadership approval procedures. VIP may accept or decline membership applications in accordance with those requirements.
Certain business categories may be limited to one member or may otherwise be unavailable. Website statements concerning available categories are informational and may not reflect changes that have not yet been published.
These Website Terms do not replace VIP’s membership application, bylaws, membership agreement, code of conduct, dues schedule, or other internal policies. If a conflict exists, the applicable membership document or policy will control with respect to membership matters.
Meeting dates, times, locations, speakers, meals, programs, and other event details may change without notice. VIP does not guarantee the availability of any particular meeting, presentation, meal, benefit, referral, or networking opportunity.
4. Member Directory and Independent Businesses
The Website may publish profiles containing a VIP member’s name, photograph, business name, professional category, biography, telephone number, email address, website, social-media links, and other business information.
VIP members and their businesses are independent parties. Unless expressly stated otherwise, they are not employees, agents, partners, or legal representatives of VIP.
Inclusion in the directory indicates membership in VIP but does not constitute a guarantee, certification, warranty, or endorsement of a member’s:
-
Qualifications or professional licenses;
-
Experience or competence;
-
Products, services, pricing, or availability;
-
Statements, advice, representations, or business practices; or
-
Suitability for a particular customer or project.
Visitors are responsible for performing their own due diligence before hiring, retaining, purchasing from, referring, or otherwise doing business with a member. This may include confirming licenses, insurance, qualifications, references, pricing, contracts, and regulatory status.
Any transaction or dispute between a visitor and a member is solely between those parties. VIP is not a party to, and is not responsible for, such transactions or disputes.
5. No Guarantee of Referrals or Business Results
VIP provides opportunities for professionals to meet, develop relationships, share ideas, and exchange referrals. However, VIP does not promise or guarantee:
-
Any minimum number or value of referrals;
-
Increased revenue, customers, clients, or business opportunities;
-
The quality or accuracy of a referral;
-
That a referral will result in a transaction; or
-
Any particular professional or financial outcome.
Each member and visitor remains responsible for evaluating referrals and deciding whether to pursue a business relationship.
6. Information You Submit
When you submit information through the Website, you represent that the information is accurate, that you have the right to provide it, and that it does not violate another person’s rights.
Contact-form submissions may be shared with VIP officers, authorized volunteers, or appropriate members when reasonably necessary to respond to your inquiry.
If you provide materials for a public member profile—including photographs, logos, biographies, business descriptions, contact details, testimonials, or links—you authorize VIP to host, reproduce, edit for formatting, display, and distribute those materials for purposes of operating and promoting VIP and its member directory.
You retain ownership of materials you submit. This authorization is nonexclusive, worldwide, royalty-free, and continues while the materials remain reasonably necessary for VIP’s operations. You may request that profile information be corrected or removed by contacting VIP.
Please do not submit Social Security numbers, financial-account information, medical information, passwords, or other highly sensitive information through the Website.
7. Intellectual Property
Unless otherwise indicated, the Website’s design, branding, logos, text, graphics, photographs, and other original content are owned by or licensed to VIP and are protected by applicable intellectual-property laws.
You may view and print Website content for personal, noncommercial use. No other use, reproduction, modification, republication, distribution, or commercial exploitation is permitted without prior written authorization from VIP or the applicable owner.
Member names, trademarks, photographs, logos, and business materials remain the property of their respective owners.
8. Third-Party Websites and Services
The Website contains links to member websites, social-media platforms, meeting venues, and other third-party resources. These links are provided for convenience only.
VIP does not control and is not responsible for third-party websites, their availability, security, content, privacy practices, products, or services. Visiting a third-party website is at your own risk and is subject to that third party’s terms and privacy policy.
9. Accuracy and Availability
VIP makes reasonable efforts to keep Website information accurate and current, but information may occasionally be incomplete, outdated, or incorrect. Member details, available categories, meeting information, leadership positions, and external links may change without immediate notice.
VIP may modify, suspend, or discontinue any portion of the Website at any time. We do not guarantee that the Website will always be available, uninterrupted, secure, or free from errors or harmful components.
10. Disclaimer of Warranties
To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available,” without warranties of any kind, express or implied.
VIP disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and availability.
Nothing on the Website should be treated as professional advice or as a substitute for consulting an appropriately licensed professional.
11. Limitation of Liability
To the fullest extent permitted by law, VIP and its officers, directors, members, volunteers, representatives, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to:
-
Use of or inability to use the Website;
-
Reliance on Website content;
-
Communications or transactions with a member;
-
Referrals or business opportunities;
-
Third-party websites or services;
-
Unauthorized access to information; or
-
Website interruption, errors, or harmful components.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
12. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless VIP and its officers, directors, members, volunteers, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Website, violation of these Terms, or infringement of another person’s rights.
13. Privacy
Your use of the Website is also subject to the VIP Privacy Policy. Please review that policy for information about how personal information is collected, used, retained, and disclosed.
14. Changes to These Terms
VIP may revise these Terms and Conditions periodically. The revised version will be posted on this page with an updated effective date.
Your continued use of the Website after revised Terms are posted constitutes acceptance of those changes.
15. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any legal proceeding arising from the Website or these Terms must be brought in a state or federal court with jurisdiction in Los Angeles County, California, unless applicable law requires otherwise.
16. Severability and Waiver
If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.
VIP’s failure to enforce a provision does not waive its right to enforce that provision later.
